Under the terms of the agreement, Shutterstock stockholders can elect to receive $28.84870 per share in cash, 13.67237 shares of Getty Images, or a mixed consideration of 9.17 shares of Getty Images plus $9.50 in cash per share. Shutterstock stockholders will own approximately 45.3% of the combined company.

Should you choose to do so, we will never ask you to reimburse us directly for any legal fees or expenses. During the course of this litigation, you authorize us to employ, share work and/or fees with other attorneys or law firms to prosecute your case.
